DINELOGIC.AI WAITLIST TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern participation in the DineLogic.ai Waitlist ("Waitlist") and the purchase of a $50 refundable deposit ("Deposit"). By joining the Waitlist or submitting a Deposit, you ("Participant") agree to these Terms.

DineLogic.ai ("Company," "we," "us," "our") is a trade name of:

Richard Do, doing business as DineLogic AI, a sole proprietorship registered under a DBA in the State of California.

These Terms apply to all customers in the United States.

1. About the Waitlist

1.1 Purpose of the Waitlist

The Waitlist allows interested restaurant owners and operators to reserve a spot to potentially receive an invitation to join the DineLogic.ai Founders Beta Program when it becomes available.

1.2 No Guarantee of Participation

Joining the Waitlist does not guarantee acceptance into the Founders Beta Program or any future offering.

1.3 No Immediate Access

Joining the Waitlist does not provide access to the DineLogic.ai platform, Beta features, tools, or bonuses.

1.4 Future Offer

Any opportunity to join the Founders Beta Program including benefits, pricing, or additional terms will be presented later, closer to the Beta launch. You are not obligated to accept that offer.

2. Deposit Terms

2.1 Deposit Purpose

The $50 Deposit is collected to confirm interest, hold your spot in line, reduce false signups, and prioritize serious applicants.

2.2 Not a Purchase

The Deposit is not a payment for software or access to any part of the DineLogic.ai platform.

2.3 Deposit Credit

If you choose to accept the future Beta Program offer, the Deposit will be applied as a $50 credit toward your first billing period.

3. Refund Policy

3.1 Full Refunds Available Anytime

You may request a full refund of your Deposit at any time before subscribing to any future DineLogic.ai plan.

3.2 Refund Method

Refunds will be issued to the original payment method within a reasonable processing window.

3.3 If Not Selected

If you are not selected for the Founders Beta Program, your Deposit will be automatically refunded.

3.4 No Fees

Refunds are issued in full with no deductions or penalties.

4. Waitlist Limitations

4.1 Waitlist Does Not Guarantee the Following

Joining the Waitlist does not guarantee access to Beta, access to the platform, discounts, bonuses, program benefits, or acceptance into any future offering.

4.2 Program Benefits Are Not Included

Any Beta Program benefits will only be available if you are selected and if you later choose to accept the separate Beta offer.

4.3 Company May Change the Waitlist

The Waitlist structure or selection criteria may be changed at any time.

5. Disclaimers

5.1 No Warranties

The Waitlist and Deposit are provided "as is" without any warranty including implied warranties of merchantability, fitness for a particular purpose, or availability.

5.2 No Guaranteed Results

We do not guarantee any business results including increases in reviews, revenue, or customer activity.

5.3 Satisfaction Guarantee Applies Only to the Deposit

Although you may request a refund at any time, this does not guarantee business outcomes.

5.4 Not Professional Advice

Nothing provided during participation in the Waitlist should be considered legal, financial, or business advice.

6. Participant Responsibilities

Participants agree to:

• Provide accurate information
• Join the Waitlist voluntarily
• Not misuse or interfere with Company systems
• Not rely on the Waitlist as a promise of availability, pricing, or platform access

7. Limitation of Liability

To the fullest extent permitted by United States law:

• The Company's maximum liability for any claim related to the Waitlist or Deposit is limited to the amount of the Deposit ($50).
• The Company is not liable for indirect, incidental, or consequential damages including lost revenue or lost data.

8. Privacy and Communication Consent

8.1 Privacy

Your information will be handled in accordance with our Privacy Policy.

8.2 Communication Consent

By joining the Waitlist, you agree to receive emails or texts about Waitlist updates, selection announcements, future program offers, and refund notifications. You may opt out at any time.

9. Modification or Termination

The Company may modify or discontinue the Waitlist at any time. If discontinued, all outstanding Deposits will be refunded.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the United States and the Participant's state of residence.

10.2 Venue

Any dispute will be resolved in the state or federal courts located in California unless prohibited by the Participant's state consumer protection laws.

11. Transition to Future Corporation

If DineLogic.ai forms a new corporation or LLC, all rights and obligations under these Terms will automatically transfer to that new entity. Participants will not need to re-accept or re-sign new Terms for the Waitlist.

12. Entire Agreement

These Terms constitute the entire agreement regarding the Waitlist and the Deposit.
